Learn one thing a day for twelve days

Every class teaches one idea, asks you three questions on it and then puts it to work on a real company.

Day 01

What a stock grant actually is

A grant fixes the number of units. The share price on the vesting day fixes the money.

Day 02

How vesting works

Vesting is a condition and not a calendar courtesy. Two weeks can cost a whole instalment.

Day 03

What happens on the day your shares vest

Vesting is a payday. The company keeps about a third of the shares to cover the tax and sends the cash.

Day 04

How to read the value of a grant

Grant date fair value is fixed on day one. What you end up with is not.

Day 05

How stock options work

An RSU gives you the share. An option gives you the right to buy it, and only pays above the strike.

Day 06

What a strike price is worth

Intrinsic value is price minus strike. At a private company the price is an estimate and the shares may not be sellable.

Day 07

How dilution works

Dilution is the bill for equity pay and existing shareholders pay it. Diluted EPS is where you read it.

Day 08

How buybacks offset dilution

Buybacks turn dilution into a cash cost. They do not make equity pay free.

Day 09

What equity compensation costs a company

Share-based compensation over revenue tells you how much of the business is being paid out in stock.

Day 10

How an employee stock purchase plan works

A discount plus a lookback means you buy below the market on the day you buy. Read your own plan's terms.

Day 11

What happens to your equity at an IPO

A listing can vest years of units on one morning. Tax follows vesting and the lockup follows its own clock.

Day 12

What happens to your equity in an acquisition

Vested equity gets settled. Unvested equity gets converted and keeps its dates. The merger agreement says which.
